A partner in the Corporate Department, Mr. Liu is based in Beijing and is a member of the firm's China Practice Group.
Mr. Liu has worked on a variety of cross-border M&A and capital markets transactions in the Greater China region, including representation of financial and strategic investors on inbound investments and acquisitions in China, representation of private equity funds and target companies on take-private and PIPE transactions, representation of Chinese companies on outbound acquisitions and representation of Chinese companies in U.S. IPO and other financing transactions.
Selected transactions Mr. Liu has been involved in include:
- China investments of private equity funds managed by Actis, CDH, Everbright Investment, General Atlantic, Goldman Sachs, IDG Accel, Morgan Stanley, Oaktree and others in TMT, consumer product, retail, medical device, software, education, service, real estate and other industries
- Take-private transactions involving Asia Satellite and TOM Online, both Hong Kong- and U.S.-listed target companies
- Take-private transactions involving Taiwan- and U.S.-listed ASE (sponsored by Carlyle) and Taiwan-listed Fu Sheng (sponsored by Oaktree)
- Acquisitions of KAPPA China trademarks and a Japanese target company by Dongxiang Sports
- Acquisition of FILA China trademarks and related assets by Belle International and subsequent sale to Anta Sports
- Outbound acquisitions by TCL of Alcatel’s global mobile handset business and Thomson’s global TV business
- U.S. IPOs and listings of China Telecom, China Unicom, Sohu and other Chinese companies
Mr. Liu was named as one of China's "Leading Lawyers" by
China Law & Practice in 2008 and one of
Asialaw's "Leading Lawyers: A Guide to Asia's Finest Lawyers" in 2008 and 2009 for transactions in capital markets and corporate finance and mergers and acquisitions.
