Agrium Enters into Definitive Agreement To Acquire AWB for A$1.2 Billion

Paul, Weiss client Agrium Inc. announced yesterday that it has entered into a definitive agreement with AWB Limited, Australia's largest wheat exporter, to acquire all shares of AWB at a price of A$1.50 per share. The transaction is currently envisaged to be executed via a scheme of arrangement and is subject to the conditions precedent typically included in transactions of this type. The Paul, Weiss team advising Agrium includes corporate partners Matthew Abbott, David Huntington, Ted Maynard and Bob Schumer, and counsel Richard Elliott.
