As counsel in the Finance Group of the Corporate Department, Mr. Fogel represents borrowers and lenders in connection with a broad array of financings, including acquisition finance and leveraged loans, securitizations, project finance and restructurings, and advises clients on intercreditor matters arising among lenders.
His recent experience includes:
- representation of U.S. Department of Energy as lender in connection with its Advanced Technology Vehicles Manufacturing loan program;
- representation of C. Dean Metropoulos & Co., a leading investor in and manager of branded consumer products, in connection with its acquisition of Pabst Brewing Company, North America’s largest privately held brewing company;
- representation of Japanese investment group in connection with the restructuring of worldwide film distribution agreements;
- representation of a syndicate of first lien lenders in connection with the amendment and restructuring of a $200 million term loan and revolving credit facility;
- representation of financial institution, as sole structuring advisor and sole book-running manager, in connection with the $355.0 million “whole business” securitization of the assets of a leading beverage-grade bulk CO2 supplier;
- representation of a consortium of hedge funds in connection with the extension of a $150 million term loan to the parent of a publicly traded master limited partnership that provides midstream services to customers in the energy industry; and
- representation of Lehman Brothers Inc., as sole structuring advisor and sole underwriter, in connection with the $2.0 billion securitization of Applebee’s International, Inc.’s and IHOP Corp.’s assets.
During his tenure at Columbia University, Mr. Fogel was a Harlan Fiske Stone Scholar and a recipient of the Parker School Recognition of Achievement in Foreign and Comparative Law.
