Giulianna Ruiz is an associate in the Private Funds Group of the Corporate Department. She focuses her practice on the organization and operation of private investment funds, including buyout funds, hybrid funds, hedge funds, seed capital funds and funds of funds.
Ms. Ruiz has advised a wide variety of private investment funds in various stages of their business cycles, including initial fund and upper tier structuring and organization, fundraising, adviser registration, ongoing regulatory compliance, management promotions, separations and restructurings, internal management disputes, investor defaults and deal-level structuring.
Ms. Ruiz also has significant experience in investment management M&A transactions, including working with financial advisors during the bidding process, structuring buyouts and sales, formation of new management firms acting as buyers, negotiation terms of spin-outs from sponsor entities, overseeing limited partner consent solicitations and post-closing amendments of fund agreements.
Ms. Ruiz has also participated in the negotiation of secondary sale purchase agreements, both on behalf of sellers and buyers, including representation of a syndicate of buyers purchasing interests in over 50 private investment funds.
Ms. Ruiz served as an associate editor for the
Seton Hall University Law Review.
