Corporate partner Jeffrey D. Marell and associates Justin G. Hamill and Karina Yamada co-authored the article "The Fine Print," which appears the April 5 issue of The Deal. The article discusses the fraud claims brought against Airborne Health Inc. by Squid Soap, LP in Delaware's Court of Chancery following the sale of Squid Soap's assets to Airborne Health in 2007. The article notes the importance of drafting unambiguous anti-reliance and disclaimer provisions, as well as limiting exceptions for "fraud", in M&A agreements in order to avoid extra-contractual liability.
