Corporate partner Judith Thoyer will speak at the PLI program Contests for Corporate Control 2010: Current Offensive and Defensive Strategies in M&A Transactions, taking place on February 4 in New York City. Judith's panel will cover "Corporate Governance and Its Effect on the Board of Directors in M&A Transactions," discussing the 2009 amendments to the Delaware General Corporation Law and their impact on corporate governance practices, government and shareholder pressure on corporations to conduct internal compliance investigations and the role of the board in conducting internal investigations, as well as the "social issues" of preserving long-established corporate policies, executive compensation and retention issues in the context of a merger transaction.
