A partner in the Corporate Department, Kaye Naoko Yoshino has represented companies in a variety of cross-border transactions, with particular focus on mergers and acquisitions, strategic joint ventures and other forms of equity investments. Resident in the firm's Tokyo office, Kaye has assisted non-Japanese clients with their transactions in Japan and Japanese clients with their transactions in the U.S., Europe and Asia. Kaye has also provided support to Japanese clients in connection with U.S. litigations, regulatory matters and internal investigations.
Representative matters include:
- Citigroup’s acquisition of Nikko Cordial for $14 billion.
- Citigroup’s disposition of the retail brokerage business of Nikko Cordial for $7.9 billion to Sumitomo Mitsui Banking Corporation.
- Citigroup’s sale of NikkoCiti Trust and Banking Corporation to Nomura Trust and Banking Co., Ltd.
- Dainippon Sumitomo Pharma Co., Ltd.’s acquisition of Sepracor Inc., a Nasdaq-listed pharmaceutical company, for $2.6 billion.
- Polo Ralph Lauren’s acquisition of its Japanese licensees.
- Oaktree Capital Management’s acquisition of a listed Japanese REIT, which was the first tender offer in Japan for a J-REIT.
Having been raised both in Japan and the United States, Ms. Yoshino is bilingual and at home in both cultures. She is registered as a
gaikokuho jimu bengoshi in Japan.
