Kenneth M. Schneider
Partner
A partner in the Corporate Department, Kenneth M. Schneider focuses on mergers and acquisitions, both public and private. He has substantial experience in restructurings and has developed a significant practice in representing buyers and sellers of financially distressed and bankrupt companies. Mr. Schneider also has substantial experience in buying and selling interests in alternative investment managers.

Representative clients include Oaktree Capital Management, Oak Hill Capital Partners, Avenue Capital Group, Yankee Global Enterprises, Varde Partners, Silver Point Capital and the Abu Dhabi Investment Authority.

Mr. Schneider serves as regular outside counsel to Oaktree Capital Management, for whom he routinely handles significant transactions in the private equity and distressed arenas. Recent transactions include the $5.2 billion sale of Pegasus Aviation Finance Company and the $600 million investment in the preferred stock of EXCO Resources, an NYSE-listed oil and gas company. Mr. Schneider also serves as regular outside counsel to Oak Hill Capital Partners, and his recent work for them includes the acquisition of Vertex Data Science, a U.K.-based business process outsourcing firm; the acquisition of Primus International, a supplier to the global aerospace industry; and the sale of WideOpenWest, a provider of cable, high-speed Internet and digital telephone service.

Mr. Schneider has recently been involved in high-profile transactions in the hospitality industry, representing the Special Committee of the Board of Directors of Kerzner International, the owner and operator of Atlantis and other destination resorts, in connection with Kerzner’s $3.8 billion going-private transaction; and Wyndham International, a leading upscale and luxury hotelier, in its $3.24 billion sale to the Blackstone Group. He has been active in investment management M&A, representing Avenue Capital Group and Oak Hill Advisors in connection with significant minority investments by Morgan Stanley and iStar Financial, respectively, and the Abu Dhabi Investment Authority in connection with its investment in Apollo Management. Mr. Schneider also represented Yankee Global Enterprises LLC in the restructuring of the ownership of the New York Yankees, New Jersey Nets and New Jersey Devils and prior to that, the formation of the YES Network and YankeeNets, LLC.

Mr. Schneider served as editor in chief of the Cardozo Law Review and as a student editor of Columbia University’s Civil Liberties Review.
