Michael L. Urschel
Associate
An associate in the Corporate Department, Michael Urschel is a member of the Finance Group. Mr. Urschel represents underwriters, initial purchasers, lenders, sponsors, issuers and borrowers in the areas of syndicated credit, structured and asset-based financing, acquisition finance, sports finance and a variety of regulatory matters.

Recent transactions include:
  • representation of the sole structuring advisor and joint bookrunning managers in connection with an approximately $1.7 billion term and revolving securitization of substantially all of the revenue-generating assets of an international pizza delivery chain;
  • representation of an ad hoc committee of noteholders in connection with the support of an over $200 million exchange offer of unsecured-to-secured notes for a publicly-held oil & gas corporation;
  • representation of a publicly-held communications corporation in connection with the negotiation and closing of subordinated debt to finance the repurchase of its preferred stock;
  • representation of the sole structuring advisor and bookrunning manager in connection with a $245 million “whole business” securitization of a national restaurant chain;
  • representation of a multi-national borrower in connection with euro-denominated credit facility secured by receivables originated in multiple European jurisdictions;
  • representation of a large government agency in connection with over $2 billion in re-securitizations of mortgage-related assets from a number of depository institutions;
  • representation of the sole structuring advisor and lead bookrunning manager in connection with a $355 million notes issuance secured by outdoor advertising assets;
  • representation of the sole structuring advisor and sole bookrunning manager in connection with a follow-on offering from an over $350 million “whole business” securitization of the assets of a leading beverage-grade bulk CO2 supplier;
  • representation of a major professional sports league in connection with various special financing matters, including the league-wide credit facility, seasonal revolving lines of credit for participating clubs and the bankruptcy-related sale of a franchise;
  • representation of a private equity sponsor in connection with negotiation of committed senior and mezzanine acquisition financing; and
  • representation of a major New York City performing arts venue in connection with financing for the construction of a new theater.

Mr. Urschel is also Chairman of the Board of Directors of Make Music New York, Inc., a New York not-for-profit corporation that organizes and plans outdoor concerts around New York City.
