A partner in the Real Estate Department and the Investment Management Group, Mitchell L. Berg has handled a wide range of sales, acquisitions, financings and leasing transactions for such clients as Goldman Sachs, Hines Interests Limited Partnership, UBS, Morgan Stanley, Kimco Realty Corporation, Oaktree Capital Management, Oak Hill Capital Partners, Taylor Morrison and the Berkshire Group. He has extensive experience in the formation and structuring of real estate investment funds, joint ventures and other vehicles for investment in real estate, including public and private real estate investment trusts, co-investment vehicles and funds for investment in real estate both domestically and in Europe, India, China and other non-U.S. markets. As part of his representation of sponsors of real estate investment funds, he is conversant with issues relating to the Investment Company Act, the Investment Advisers Act, ERISA and unrelated business taxable income and other tax matters of concern to investment funds. He also represents real estate funds in connection with their real estate transactions and in the formation of joint ventures with operating partners.
His experience includes the acquisition and financing of large portfolios of real estate, including hotels, apartment buildings, industrial properties, health care facilities and telecommunications facilities, the acquisition and restructuring of distressed real estate debt and the sale and acquisition of operating companies engaged in the real estate business. He has handled a broad range of transactions involving properties outside the U.S., including sales, acquisitions, financings and joint ventures relating to properties in China, India, Africa, Eastern Europe and Latin America.
His articles on complex issues and new developments in real estate law have appeared in the
Real Estate Finance Journal, the
National Law Journal and the
New York Law Journal.
