Lew Clayton Named “Winning Litigator” by The National Law Journal

Litigation partner Lew Clayton was recognized as one of The National Law Journal’s “Winning Litigators” in its 2019 special report. In addition to sharing trial tips that have been the key to his success, Lew discusses his work securing a landmark victory for German healthcare group Fresenius both at the Delaware Court of Chancery and on appeal to the Delaware Supreme Court. The courts both ruled that Fresenius was justified in canceling its $4.8 billion agreement to acquire Illinois-based Akorn, Inc. “Received wisdom said we couldn’t succeed: no Delaware court had ever allowed termination for material adverse change,” Lew told NLJ. “Nevertheless, in under nine weeks, we constructed a compelling case, conducting 55 depositions, forcing Akorn to produce damaging privileged materials, and demonstrating the enormous impact of Akorn’s violations through comprehensive expert testimony about complicated scientific issues and extensive cross-examination of Akorn’s witnesses. And we defended this unprecedented decision on appeal, winning affirmance just two days after oral argument.”
