Through years of experience, many Japanese companies have recognized the importance of developing a compliance program that addresses U.S. legal concerns in addition to Japanese legal issues. At times, however, some Japanese companies may overlook applicable U.S. legal requirements, especially when they are not active participants in the U.S. markets. There have been several recent cases against Japanese and other non-U.S. companies that highlight how certain U.S. laws and regulations may be applicable. This memorandum summarizes select U.S. legal topics that Japanese companies should consider as part of their global compliance programs in order to avoid unexpected pitfalls.
