David Huntington, Valerie Radwaner and Laura Turano Publish Article in Law360 on Nasdaq’s Board Diversity Requirements

Corporate partners David Huntington and Laura Turano and firm Deputy Chair Valerie Radwaner published an article, “Board Diversity Considerations in Light of New Nasdaq Rules,” in Law360. The authors discuss how the SEC’s decision to approve Nasdaq’s board diversity requirements is just the first of more rules related to environmental, social and governance (ESG) issues to come. As Nasdaq's rules take effect and other regulatory organizations around the world consider or implement similar requirements, large public companies, including Goldman Sachs, Blackrock and Fidelity, have already done significant work to meet these board diversity objectives or have already met them. The authors recommend, in light of the enhanced competition to attract diverse directors and the possible need to train candidates, that companies start planning now to meet the new criteria and to ensure they are securing the information needed to make the required Nasdaq disclosures in 2022.
