Far Peak SPAC to Combine With Bullish to Create Publicly Traded Company

Paul, Weiss is advising the independent directors of Far Peak Acquisition Corporation in its combination with Bullish, a technology company focused on developing financial services for the digital assets sector. Far Peak is a special purpose acquisition company focused on bringing leading financial and fintech companies public. As a result of the merger, Bullish will become a publicly listed company on the New York Stock Exchange.

The transaction has a pro forma equity value at signing of approximately $9 billion at $10 per share, to be adjusted at closing based on cryptocurrency asset prices around that time. The proceeds include net cash in trust of about $600 million (assuming no redemptions) and $300 million committed in private investment in public equity (PIPE) anchored by EFM Asset Management, with participation from BlackRock, Cryptology Asset Group and Galaxy Digital, among other investors. The transaction is expected to close by the end of 2021, subject to customary closing conditions.
