General Atlantic and Oak Hill Agree to Sell Stake in Genpact to Bain Capital Partners

Paul, Weiss clients General Atlantic (GA) and Oak Hill Capital Partners (Oak Hill) have agreed to sell approximately 68 million common shares in Genpact Limited, a leading outsourcing company with operations in 18 countries, to Bain Capital Partners LP for $14.76 per share, or approximately $1 billion. The transaction is expected to close in 2012, following the payment of an approximately $500 million special dividend (or $2.24 per share) to all Genpact shareholders, including the GA and Oak Hill funds.
