Richard J. Bronstein
Partner
A partner and co-chair of the Tax Department, Richard J. Bronstein is actively involved in domestic and international corporate finance, mergers and acquisitions transactions, in various partnership transactions (including securities and investment funds), in secured financing transactions (both domestic and cross-border) and in federal and New York tax audit and tax controversy matters.

In recent years, he has represented numerous domestic and offshore investment funds in connection with organizational matters and also on a transactional basis. The corporate transactions in which he has been significantly involved have related to companies and investors in the United States as well as Bermuda, Canada, Cayman Islands, England, India, Japan, Luxembourg, Spain, Switzerland and numerous other countries.

Mr. Bronstein has represented parties to numerous financing transactions involving projects and equipment located in the United States and other countries. On a regular basis, he represents taxpayers in disputes with the Internal Revenue Service and local tax authorities, and he has litigated cases in the United States Tax Court and elsewhere.

Representative clients include General Atlantic LLC, C-I Capital, Avenue Capital Group, Harbinger Capital Partners and Continental Grain Company. Mr. Bronstein is recognized as a leading Tax lawyer in the United States by Chambers USA, Legal 500 and The Best Lawyers in America. In the 2011 edition of Chambers USA: America’s Leading Business Lawyers, Mr. Bronstein was described as being "highly intelligent, great with clients and always providing excellent practical judgment." And in the 2011 Legal 500, Mr. Bronstein is described as "a leader in the field -- there is no better advisor for a private equity firm in its tax issues . . . he has the ability to assess risk, and is very creative in structuring and driving value."

Mr. Bronstein served as articles editor of the University of Chicago Law Review. He is a member of the Tax Section of the New York State Bar Association and is also a member of the Practising Law Institute's Tax Law Advisory Committee.
