Scott D. Fisher is counsel in the Corporate Department and a member of the firm’s Capital Markets and Securities Group. Based in New York, Mr. Fisher advises clients on public and private offerings of debt and equity securities, corporate governance, business combinations and general corporate and securities law matters. He has represented both issuers and underwriters in initial public offerings, high yield financings, convertible debt and preferred stock offerings and other public and private securities transactions.
Mr. Fisher has extensive experience representing portfolio companies of private equity firms in their initial public and subsequent equity offerings, and he provides regular counsel to these companies on an ongoing basis.
Mr. Fisher has also represented major investment banking firms in a wide range of debt and equity capital markets transactions for a variety of issuers. He also has advised companies in debt restructuring transactions and consent solicitations.
Mr. Fisher graduated
cum laude from Yale University in 1995 with honors in the Ethics, Politics and Economics Major. Upon graduation from the University of Pennsylvania Law School in 1999, he clerked for Hon. Raymond J. Dearie of the Eastern District of New York.
