In Staff Legal Bulletin No. 18 published on March 15, 2010, the Staff of the SEC’s Division of Corporation Finance outlined the circumstances in which an issuer may suspend its periodic reporting obligations in reliance on Rule 12h-3 following an abandoned initial public offering or an acquisition.
