Valerie Radwaner
Partner
A partner in the Corporate Department and a member of the firm's Finance Group, Valerie Radwaner has over 20 years experience as a financing lawyer. Ms. Radwaner represents corporate borrowers, financial institutions, sponsors and lenders in connection with a broad range of financing transactions.

Ms. Radwaner's practice includes advising clients in connection with syndicated senior credit facilities, second lien financings, mezzanine financings, bridge loans, asset-based loans, investment grade bank facilities, private placements, distressed debt situations, exit financings and restructurings.

Ms. Radwaner's lender and institutional investing clients include Anchorage Capital Group, Apollo Management, Avenue Capital Group, Elliott Associates, Farallon Capital Partners, Silver Point Capital and the Steering Committee of Lenders of Marsico Capital Management. Her borrower representations include transactions for MacAndrews & Forbes Holdings, Michael Kors Corporation, Panavision, Sageview Capital Partners, The Weinstein Company, and public companies such as ADP, The Bon-Ton Stores, Broadridge Financial Solutions, EnCana Corporation, Polo Ralph Lauren Corporation, Revlon, Time Warner Cable and Wendy’s/Arby’s Group.

Representative transactions include:
  • Warner Music Group Corp. in connection with its proposed $3.3 billion sale to Access Industries.
  • The Steering Committee of Lenders of Marsico Capital Management in connection with the restructuring of $1.2 billion senior secured credit facility and $1.35 billion mezzanine securities of Marsico Capital Management.
  • Time Warner Cable in its $4 billion revolving credit facility and its $9 billion bridge facilities as a result of its spin-off from Time Warner.
  • The Bon-Ton Stores in its $675 million senior secured revolving credit facility and $75 million second lien term facility.
  • Wendy’s/Arby’s Group in connection with its $650 million senior secured credit facility.
  • Genco Distribution System, Inc. in the financing of its $512.6 million acquisition of ATC Technology Corporation.
  • Michael Kors Corporation in its credit facilities.
  • Anchorage Capital Group and Strategic Value Partners in connection with $150 million first lien exit facility and $258 million second lien facility for Crescent Resources.
  • Silver Point Finance, LLC, as administrative agent, collateral agent and lender in connection with the exit financing for Hostess Brands, Inc.
