A partner in the Corporate Department, Mr. Liu is based in Beijing and is a member of the firm's China Practice Group.

Mr. Liu has worked on a variety of cross-border M&A and capital markets transactions in Greater China, including representation of private equity funds and strategic investors on inbound investments in China, representation of private equity funds and special committees on take-private and PIPE transactions, and representation of Chinese companies on outbound investments, licensing, joint ventures and initial public offerings.

Selected transactions Mr. Liu has been involved in include:

• Private equity investments by Actis, Carlyle, CDH, Everbright Investment, General Atlantic, Goldman Sachs, IDG Accel, KKR, Morgan Stanley, Oaktree and Pacific Alliance in a variety of industries in Greater China;
• Representation of special committees in going private transactions involving Asia Satellite and TOM Online;
• Take-private transactions involving Taiwan- and U.S.-listed ASE (sponsored by Carlyle), Taiwan-listed Fu Sheng (Oaktree) and Yageo (KKR) and a Singapore-listed company (IDG) and PIPE investment in US-listed Yongye (Morgan Stanley);
• Establishment of the Shanghai Disneyland joint venture between Disney and Shanghai Shendi Group;
• Outbound investments, acquisitions or cross-border joint ventures of Baidu, Belle, Bosideng, Dongxiang, Tencent, TCL and other Chinese companies, including outbound investments in France, Germany, Italy, Japan, the U.S. and other countries; and
• U.S. IPOs and listings of China Telecom, China Unicom, Sohu and other Chinese companies.

Chambers Asia 2012 recommended Mr. Liu one of the “Leaders in Their Field” for private equity in China. He was also named a "Leading Lawyer" by China Law & Practice and Asialaw for transactions in capital markets, corporate finance and mergers and acquisitions.
