Our Practice

Our Capital Markets practice is primarily an issuer-based practice. We represent private equity firms and their portfolio companies in connection with their acquisition financings, initial public offerings and subsequent financings – representations that demand flexibility, creativity and practicality. We also advise major public companies on their U.S. and global capital markets transactions, including equity, debt and hybrid securities offerings and a full range of registered public offerings and private placements. For the past five years, we have acted as counsel in more than 400 SEC registered or Rule 144A offerings involving U.S. and non-U.S. issuers totaling more than $250 billion in proceeds.

We regularly guide and train boards and committees on their obligations under Securities & Exchange Commission (SEC) regulations and stock exchange rules; review internal policies on disclosure controls, investor communications, securities trading, document retention and financial analyst issues; and advise on securities law implications of stock-based employee compensation plans, employee stock purchase plans, dividend reinvestment plans, stock repurchase programs and self-tender offers.

A number of our lawyers have held senior roles in the SEC and other key U.S. governmental agencies and self-regulatory organizations. The team includes a former counsel to two SEC chairs and a former Vice Chancellor of the Delaware Court of Chancery, who is also a member of the NYSE Euronext - Blue Ribbon Commission on Corporate Governance.

In all of our capital markets representations, we are efficient and practical, staffing each matter leanly with a core team of partners who work with other attorneys in specialized areas.
