As non-U.S. SEC reporting companies prepare their annual disclosure to be included in their Annual Reports on Form 20-F for fiscal 2011, they should be mindful of the SEC's recently adopted and proposed rules and disclosure guidance as well as certain other relevant developments. This memorandum summarizes the new disclosure requirements and expectations and is intended to serve as an updated checklist for Form 20-F filers for fiscal 2011.
