Nippon Steel to Enhance Strategic Partnership With Vallourec

As reported in The Wall Street Journal, Bloomberg, Reuters and other media outlets, Paul, Weiss client Nippon Steel & Sumitomo Metal Corporation (NSSMC) announced that it has agreed to increase its stake in Vallourec S.A., a world leader in premium tubular solutions serving energy and industry markets, to 15 percent. In connection with the transaction, NSSMC, Vallourec and Sumitomo Corp. have also entered into an agreement pursuant to which the pipe manufacturing and sales operations of Vallourec Tubos do Brasil, S.A., a Brazilian company owned by Vallourec, will be integrated with Vallourec & Sumitomo Tubos do Brasil Ltda., a Brazilian pipe manufacturing joint venture of NSSMC, Vallourec and Sumitomo Corp., subject to receipt of required antitrust approvals, receipt of certain approvals by Vallourec's shareholders, and other customary conditions.
