Counsel in the Tax Department, Colin S. Kelly regularly advises investment funds and their portfolio companies on a variety of complex international and domestic transactions, with a focus on mergers and acquisitions, joint ventures and the formation of funds and fund managers. His practice also includes negotiating and structuring financing arrangements, real estate transactions and both creditor and debtor side restructurings.
Colin has advised clients on a variety of complex income tax issues relating to C corporations, S corporations, partnerships and LLCs, individuals, inbound and outbound cross-border investments, foreign governments and sovereign wealth funds, real estate investment trusts (REITs) and financial products.
Colin’s pro bono experience includes advising charitable organizations on various 501(c)(3) issues and representing Edith Windsor in her landmark civil rights victory overturning the Defense of Marriage Act (DOMA) in the U.S. Supreme Court.
