David Harris is a Counsel in the Corporate Department and a member of the Mergers and Acquisitions Group and the Private Equity Transactions Group. He focuses his practice on a range of corporate matters, with special emphasis on merger and acquisition and private equity transactions. He has assisted in advising clients in both public and private mergers and acquisitions in industries such as apparel, communications, retail, financial services, real estate management and manufacturing. David also has assisted in advising various private investment fund clients in private equity transactions and joint ventures and both shareholders and targets in connection with a variety of activist-related matters.

EXPERIENCE

Some of David's recent matters include:

  • Automatic Data Processing Inc. in its $5 billion spin-off of CDK Global;
  • Dainippon Sumitomo Pharma Co. in its acquisition of Sepracor;
  • Elliott Management Corporation in its proxy contests with Hess Corporation and Iron Mountain Corporation;
  • Harbinger Capital Partners:
    • and related funds in the private placement of common shares of its publicly traded corporation, Harbinger Group, Inc., to Leucadia National Corporation and other funds;
    • in its $253 million sale of preferred securities to Leucadia National Corporation; and
    • in its proxy contests with NY Times and Media General;
  • Imperial Sugar Company in its sale to Louis Dreyfus Commodities;
  • Kohlberg & Company, L.L.C.:
    • in its acquisition of Sabre Industries, Inc.;
    • in its sale of its portfolio company, Thomas Nelson, to HarperCollins Publishers; and
    • in its acquisition of Kellermeyer Building Services;
  • KPS in its acquisition of substantially all the assets of United Copper Industries, Inc., an affiliate of Organización IUSA, S.A. de C.V.;
  • Millicom International Cellular S.A.:
    • in the sale by its subsidiaries in Ghana, Tanzania and the Democratic Republic of Congo of their respective portfolios of communications towers to Helios Tower Tanzania;
    • in the sale of its portfolio of communications towers in Colombia to American Tower Corporation; and
    • in its reorganization of its holdings in a joint venture with American Tower Corporation formed to hold Millicom's communications towers in Colombia, and then the sale of Millicom's holdings in such joint venture to American Tower Corporation;
  • TowerCo LLC:
    • in its purchase of telecommunications towers from Sprint;
    • in its purchase of telecommunications towers from i Wireless; and
    • in its establishment of a marketing arrangement with C-Spire;
  • Walter Energyin its proxy contest with Audley Capital;
  • Wilton Brands in the acquisition of Simplicity Creative Group.; and
  • Zagat Survey in its sale to Google.

David served on the Fordham Urban Law Journal at Fordham University School of Law. Previously, David was a law clerk for Justice Ira Gammerman of the Supreme Court, New York County and interned at the U.S. Securities and Exchange Commission, where he worked directly with both compliance investigators and enforcement attorneys. David also worked for a small regional financial advisory firm in Washington, D.C., where he was able to procure his Series 7 and Series 63 stockbroker licenses.
