A partner in the Corporate Department and a member of the Capital Markets and Finance groups, Tracey advises public and privately held companies in connection with a wide range of capital raising transactions, including initial public offerings and high yield debt transactions; private equity funds in connection with leveraged acquisitions, investments and mezzanine financings; and underwriters and investors in connection with public and private debt and equity transactions, including SPAC PIPE transactions. Long recognized as one of the United States’ leading capital markets lawyer by The Legal 500, Tracey was recently shortlisted for the 2021 Euromoney Women in Business Law Awards in the Best in Capital Markets – Debt category.
Tracey has experience structuring and executing the most complex securities offerings such as hybrid or structured mezzanine financings, including convertible preferred stock and convertible debt transactions, as well as high yield offerings, structured PIPE transactions and registered direct offerings. She also has extensive experience with debt restructuring transactions and has represented a number of clients in connection with consent solicitations, exchange offers and tender offers. Tracey routinely advises clients as well as boards of directors with respect to corporate governance matters as well as NYSE and NASDAQ compliance matters.
Tracey’s notable recent engagements include ADT Inc. in connection with its initial public offering, high yield and other debt transactions, and numerous other transactions; SeaWorld Parks & Entertainment in connection with multiple high yield offerings and various other capital markets matters; Carnival Corporation in connection with various complex pandemic-related debt and equity transactions; and various SPAC representations, including PIPE transactions.
Tracey has advised Apollo Global Management and its portfolio companies on a vast range of leveraged finance as well as other capital markets matters, including Apollo’s debt and equity investments into Cimpress, Albertsons and Hertz; acquisitions of W.R Grace, Verizon Media and Athene Holding; debt offering for Aspen Insurance Holdings; and sale of Diamond Resorts International to Hilton Grand Vacations. Tracey has notable experience in the energy sector, including in connection with Apollo’s investments in Talos Energy, Jupiter Resources and Double Eagle Energy Holdings. She also has substantial experience in restructuring matters, including notable representations in connection with the Guitar Center, Diamond Offshore, CEVA Group, Penson Worldwide and CIT Group restructurings.
Tracey also regularly represents several other significant alternative asset management firms in their capital markets transactions, including Hill Path Capital, Searchlight Capital Partners, The Carlyle Group, Blackstone/GSO, HPS Investment Partners and D-1 Capital, as well as various other financial institutions, including Citigroup and Stephens.
An executive editor of the Boston University Law Review, Tracey was also a Harlan Fiske Stone Scholar.
