A partner in the Corporate Department and a member of the Finance Group and the Capital Markets Group, Tracey focuses on representing private equity funds in connection with leveraged acquisitions, investments and mezzanine financings as well as issuers, underwriters and investors in connection with public and private debt and equity transactions.
EXPERIENCE
Tracey has broad experience in representing private equity funds in leveraged financings as well as various other financing and investment transactions. Her expertise includes structured mezzanine financings, including convertible preferred stock and convertible debt transactions. She also routinely represents public and private companies in connection with high yield offerings as well as issuers and underwriters in connection with a wide range of registered public offerings, including initial public offerings and debt and equity offerings and spin-off transactions. She is recognized as a leading capital markets lawyer in the United States by The Legal 500.
Tracey has significant expertise in private placement transactions, PIPEs transactions, registered direct offerings and distressed investments. She also has extensive experience with debt restructuring transactions and she has represented a number of clients in connection with consent solicitations, exchange offers and tender offers. Tracey routinely advises clients with respect to corporate governance matters as well as NYSE and NASDAQ compliance matters.
Recent engagements include matters involving public companies including ADT Inc. and SeaWorld, as well as various matters for Apollo Global Management LLC and its portfolio companies, including Talos Energy, Jupiter Resources, Constellis Holdings and Double Eagle Energy Holdings. She also has substantial experience in restructurings, including matters for Mood Media Corporation, Eagle Bulk Shipping, Exide Technologies, CEVA Group PLC, Penson Worldwide and CIT Group. Recent PIPEs transactions include Laureate, Cimpress plc and various potential ongoing investments by Apollo, General Atlantic, Hill Path and Carlyle.
Tracey regularly works with Searchlight Capital Partners, LLC, HPS Investment Partners, Centerbridge Partners, LP, Chatham Asset Management, Citigroup and various other financial institutions.
An Executive editor of the Boston University Law Review, Tracey was also a Harlan Fiske Stone Scholar.
