Corporate partner Laura Turano participated in a panel on the role of shareholder votes in transactions as part of the Institute for Corporate Governance & Finance’s Spring Roundtable, “The Normative Significance of Shareholder Votes in a World of Common Ownership.” Laura’s panel, which took place at New York University School of Law on May 2, covered when a transaction should include a “majority of the minority” vote provision, what the provision should say and what it means for the company, among other topics.
