Carrier Global to Acquire Viessmann Climate Solutions in €12 Billion Deal

Paul, Weiss is advising Carrier Global Corporation in its strategic acquisition of Viessmann Climate Solutions in a cash-and-stock transaction valued at €12 billion, subject to working capital and other adjustments. Germany-based Viessmann Climate Solutions, the largest segment of Viessmann Group, is a critical leader in Europe’s energy transition and a premium brand in the highest-growth segment of the global heat pump and energy transition markets. The deal, announced on April 25 and expected to close by the end of 2023 subject to customary closing conditions and regulatory approvals, will transform Carrier’s business portfolio and establish the company as a pure-play, global leader in intelligent climate and energy solutions.
