David Clements is a member of the Mergers & Acquisitions Group. David advises private equity sponsors, portfolio companies and strategic clients on a variety of complex business transactions, including mergers and acquisitions, joint ventures, dispositions, restructurings, equity financings and corporate governance matters.

David’s experience includes advising:

  • ADP, a human resources and payroll solutions company, in its acquisition of Pequity, a compensation management software provider
  • Apollo Strategic Growth Capital in its $5 billion business combination with American Express Global Business Travel to form a publicly traded company
  • Brighton Park Capital in numerous transactions, including:
    • its $250 million investment in TickPick, an online ticket marketplace
    • its Series C investment in StoryBlok, an Austria-based content management system
  • Driven Brands, a portfolio company of Roark Capital, in its acquisition of International Car Wash Group
  • EagleTree Capital in investments from affiliates of AlpInvest Partners and Alberta Teachers' Retirement Fund Board, and in strategic minority investments from Misland Capital and Bullingham Capital
  • Eli Lilly and Company in its pending acquisition as a stalking horse bidder under section 363 of the Bankruptcy Code of Sangamo Therapeutics, a genomic medicine company, as part of Sangamo’s voluntary chapter 11 proceedings
  • General Atlantic in numerous transactions, including:
    • its acquisition of Actis, a UK-based infrastructure investment firm with over $12 billion in assets under management
    • its initial public offering of European Wax Center
    • several minority and growth equity investments, including in OSEA Malibu, 80 Acres Farms, Certinia, Gravie, GoodVets Group, NationsBenefits, Klar and Jüsto
