An associate in the firm’s Los Angeles office, Eric is a member of the firm’s Mergers & Acquisitions group. Eric represents private equity sponsors and their portfolio companies, as well as other firm clients, in connection with complex commercial transactions, including domestic and cross-border mergers and acquisitions, leveraged buyouts, growth capital and preferred equity investments, joint ventures, recapitalizations, restructurings and divestitures. Eric also regularly advises clients on general day-to-day corporate governance matters.
Eric’s significant representations include:
- Brookfield Infrastructure in its pending acquisition and strategic investment in Hotwire Communications from Hotwire founders and investment funds managed by Blackstone;
- Nestlé Health Science*, in numerous transactions, including its:
- $5.75 billion carve-out acquisition from The Bountiful Company of certain leading vitamin and nutritional supplement brands, including Nature’s Bounty, Solgar, Osteo Bi-Flex and Puritan’s Pride
- acquisition of a majority interest in Orgain, a leading manufacturer of plant-based nutritional shakes, powders and snacks;
- Nestlé USA*, in its acquisition of Essentia Water, a market-leading premium, high-growth functional water brand;
- Brentwood Associates*, in its preferred minority equity investment in Pacifica Beauty;
- PLBY Group, Inc.*, owner of the lifestyle company Playboy, in its acquisition of Honey Birdette, a luxury direct-to-consumer lingerie and lifestyle brand;
- Drybar Holdings*, a portfolio company of Castanea Partners, in its sale to WellBiz Brands of the exclusive franchisor rights for the Drybar boutique haircare services business;
- Cremo Company*, a premium men’s grooming brand, in its sale to Edgewell Personal Care Company;
- ABRY Partners* and its portfolio companies in numerous transactions, including its:
- acquisition of Anju Software, a provider of enterprise software for the pharmaceutical and life sciences industries, from Providence Strategic Growth Partners
- take-private acquisition of OmniComm Systems, a provider of clinical trial data management software for the pharmaceutical industry
- sale of HealthSCOPE Benefits, a company offering health insurance claims administration solutions to self-funded employers, to an affiliate of UnitedHealth Group
- equity recapitalization of Confie Seguros, one of the country’s largest privately held insurance brokers;
- Carlyle Equity Opportunity Fund* and its portfolio company, United Road Services, in the acquisition of Fleet Car Services and other related add-on transactions;
- OmniClaim*, a healthcare cost containment and payment integrity solutions provider, in its sale to Equian, a portfolio company of New Mountain Capital
- TZP Group* in its:
- investment in Saatva, an e-commerce luxury mattress retailer
- sale of Global Employment Solutions, a specialized staffing services firm for a variety of commercial and government industries, to an affiliate of Alvarez & Marsal Capital Partners
