Lara Solomons is a Counsel in the firm’s Mergers & Acquisitions and Private Equity M&A Groups. She regularly represents public and private companies, private equity funds, portfolio companies and strategics in the full spectrum of merger and acquisition transactions, including acquisitions and divestitures, minority investments and carve-out transactions. Lara’s public company experience also includes special committee assignments, corporate governance and activist defense matters.

Lara’s notable transactions include representing:

  • Advance Publications, a major shareholder in Charter Communications, in Charter’s $34.5 billion combination with Cox Communications
  • Brighton Park Capital in:
    • alongside other investors, in the $142 million investment in Coralogix
    • as lead investor, in the $50 million investment in TheMathCompany
  • Crown Castle in the activist campaign by Elliott Management
  • Goodyear in the activist campaign by Elliott Management
  • HPS Investment Partners, alongside Clayton, Dubilier & Rice and certain of its existing lenders, in a $225 million new money equity capital investment in Vialto
  • IBM in its $6.4 billion acquisition of HashiCorp
  • The special committee of the board of directors of Madison Square Garden Entertainment in the spin-off of its traditional live entertainment businesses, to create a new publicly traded company known as Sphere Entertainment Co.
  • M.D.C. Holdings, a home construction company, in its $4.9 billion sale to Sekisui House
  • The special committee of the board of directors of QAD in its $2 billion sale to Thoma Bravo
  • Qualcomm Incorporated, alongside SSW Partners, in its $4.5 billion topping bid for Veoneer
  • Red Robin in the activist campaign by JCP Investment Management and Jumana Capital Investments
  • Roark Capital Group in numerous transactions, including:
    • its acquisition of Dave’s Hot Chicken, reportedly valued at $1 billion
