An associate in the Executive Compensation Group, Ryan Rivera advises private equity sponsors and their portfolio companies, strategic investment firms and other public and private companies on the executive compensation and employee benefits-related aspects of mergers and acquisitions, financings and other complex transactions, as well as related general corporate matters.
Ryan regularly works with clients on structuring and implementing deferred, equity, bonus and incentive compensation plans and agreements. He also advises on a wide range of transactional documentation, including employment, consulting, termination, change-in-control, severance and release agreements, with a focus on compliance with and issues arising under the Internal Revenue Code, including Sections 280G and 409A, federal securities laws, exchange regulations and related corporate governance rules.
