A partner in the Litigation Department, Tiana Voegelin focuses her practice on complex commercial and civil litigation, concentrating on M&A-related disputes and other high stakes transactional, governance and shareholder matters. Her M&A litigation work includes representing public companies, boards of directors, special and investigative board committees, private equity firms and portfolio companies, and individual senior executives in the Delaware Court of Chancery, as well as in federal and state courts nationwide. Tiana also handles a range of other high stakes commercial disputes, highly sensitive internal investigations, and litigation involving the sports industry. She has extensive experience litigating at all stages of a matter, from pre suit investigations through trial and appeal. Tiana was recently named to Benchmark Litigation's 2026 "40 & Under" list of top up-and-coming litigators and recognized as a “Rising Star” by The Legal 500 for general commercial disputes (2023–2024).
Tiana’s experience includes representing clients in complex litigation arising out of mergers and acquisitions and related disputes. These matters involve challenges to transactions, contractual rights and fiduciary duties in high‑stakes deal contexts across a range of forums. Representative M&A‑related and governance litigation matters include:
- Former Independent Directors of CBS Corp. in successfully resolving multibillion‑dollar securities class and derivative actions in the Delaware Court of Chancery alleging breaches of fiduciary duty and disclosure violations in connection with CBS’s stock‑for‑stock merger with Viacom Inc;
- Former Special Committee Members of Cornerstone Building Brands in connection with the successful settlement of shareholder litigation in the Delaware Court of Chancery challenging the fairness of, and disclosures relating to, a take‑private transaction in which Clayton, Dubilier & Rice acquired the remaining outstanding shares of Cornerstone;
- Warrior Parent and executives of Saama Technologies as trial counsel in a Delaware Court of Chancery action asserting breach of contract and fiduciary duty claims arising from the acquisition of a majority interest in Saama by The Carlyle Group entities; and
- Hecate Holdings in litigation against Repsol Renewables North America in the Delaware Court of Chancery arising out of Repsol’s alleged failure to consummate a put transaction.
Tiana has handled a wide range of complex commercial disputes and highly sensitive internal investigations, including matters involving global companies, financial institutions and major sports organizations. Her representative experience includes:
- Atos SE in the settlement and dismissal, with prejudice, of a trade secrets misappropriation action brought by Unisys Corp;
- Citigroup in connection with a multi month trial and the ultimate settlement of claims arising out of the Lehman Brothers bankruptcy;
- Special Committee of the Board of Directors of Credit Suisse Group AG in an investigation and public report concerning the bank’s relationship with Archegos Capital Management following Archegos’s default and related losses;
- Fédération Internationale de Football Association (FIFA) in a range of matters, including the resolution of claims alleging anticompetitive conduct relating to the organization of professional football matches in the United States;
- National Football League in litigating and resolving claims brought by former players challenging provisions of the NFL Concussion Settlement Agreement; and advising on the ongoing implementation of the NFL Concussion Settlement and related Third Circuit proceedings; and
- Other institutional clients in highly sensitive internal investigations, including matters involving a multinational investment bank and a major technology company.
