Blake Longoria is a partner in the firm’s Mergers & Acquisitions Group. His practice focuses on representing public and private companies, private equity sponsors, and management teams in corporate and transactional matters, including mergers and acquisitions, private equity transactions and corporate governance matters.
Blake’s representations have included:
- An investor consortium comprised of AI Infrastructure Partnership, MGX and BlackRock’s Global Infrastructure Partners in its $40 billion acquisition of Aligned Data Centers, a provider of data center solutions, from Macquarie Asset Management
- I Squared Capital in its acquisition of VLS Environmental Solutions, a sustainability solutions and ESG-friendly waste services company
- Texas Pacific Land Trust on its reorganization into Texas Pacific Land Corporation (NYSE: TPL), whose market capitalization was approximately $6.2 billion prior to market opening on the date of the reorganization
- Atlas Technical Consultants, a leading provider of infrastructure and environmental solutions, in its acquisition by funds managed by GI Partners in an all-cash transaction valued at approximately $1.05 billion
- Bernhard, an energy-as-a-service solutions company, in connection with a sale to DIF Capital Partners
- HGGC in its sale of a majority stake in Beauty Industry Group (BIG), a leader in professionally installed and DIY hair extension products
- Morgan Stanley Infrastructure Partners in its sale of Red Oak, a 831 MW combined cycle power plant, to Strategic Value Partners
- NexTier Oilfield Solutions, in an all-stock merger of equals transaction with Patterson-UTI Energy, resulting in a combined enterprise value of approximately $5.4 billion
- Red Bluff Resources and Bricktown Energy on their sale to Citizen Energy of substantially all of their oil and gas properties, which included ~13,000 BOEPD (56% liquids), 200 operated wells and 739 non-op wells and ~80,000 net acres
- Talen Energy in:
- the $785 million sale of its 1,710 MW portfolio of natural gas-fired generation facilities in ERCOT to CPS Energy
- the $650 million sale of its nuclear-powered Cumulus data center campus to Amazon Web Services
- TPG Rise Climate in:
- the formation of Rubicon Carbon as a next generation carbon solutions provider and Rubicon Carbon’s $1 billion capital raise (including co-investment)
- its 1/3 equity investment in Monarch Bioenergy, a joint venture between Roeslein Alternative Energy and Smithfield Foods that is a leader in capturing agricultural methane emissions and converting them into carbon-negative renewable natural gas
- VLS Environmental Solutions, an I Squared Capital portfolio company, in its acquisitions of Texas Molecular and SRE Environmental
- Bodega Latina Corporation in its acquisition of Smart & Final Holdings, Inc. from funds managed by affiliates of Apollo Global Management, Inc. for approximately $620 million
- Swift Current Energy, a renewables development company in a sale of a majority stake to Buckeye Partners L.P. and Nala Renewables
- A private equity fund in a $250 million preferred investment in a midstream company
- A management team in a $117 million acquisition of midstream and upstream assets in Arkansas
- West Street Infrastructure Partners III, an infrastructure investment fund managed by Goldman, Sachs & Co., in its acquisition of Synagro Technologies, Inc., a North American provider of biosolids and residuals solutions to more than 800 municipal and industrial water and wastewater facilities
- Fortress Transportation and Infrastructure Investors LLC in its sale of the Central Maine & Quebec Railway to Canadian
- PCS Software, Inc., a software developer for transportation management solutions for U.S. inland trucking, to The CapStreet Group, LLC
