A counsel in the Executive Compensation Group, Cindy advises clients on executive compensation and employee benefits matters in their day-to-day operations. She advises public and private companies on the design, implementation and administration of equity and cash compensation arrangements and related compliance matters. She advises public companies on compensation disclosure (including proxy statements, Form 8-K requirements and say-on-pay advisory votes), oversight of executive compensation and related corporate governance issues. She has experience in the negotiation of employment, severance and change in control agreements, plans and policies. She also has experience advising on executive compensation and employee benefits matters in initial public offerings and a variety of other corporate transactions, including mergers, acquisitions, spin-offs and joint ventures.
