Litigation partner Matt Stachel and associate Miranda Gilbert will present a myLawCLE program, “Caremark in 2026: Oversight Claims, Corporate Risk, and the High Bar for Bad Faith,” that will explore the contours of oversight claims and how oversight failure may create fiduciary liability for directors and officers. The session will cover the standards governing Caremark oversight claims, including how reporting systems, internal controls and red flags are evaluated, how Section 220 books and records are used by plaintiffs and defendants, and how defendants can challenge insufficiently pleaded claims.
