Restructuring partners Elizabeth McColm and Sean Mitchell wrote the “USA” chapter in the International Comparative Legal Guide – Restructuring & Insolvency Laws & Regulations 2026, published by the Global Legal Group Ltd., London. The authors discuss key considerations for companies in financial distress, including directors’ fiduciary duties, the stakeholders that may influence a company’s situation, and the circumstances in which transactions may be challenged; the range of restructuring and insolvency options, from informal, contract-based workouts to formal Chapter 11 proceedings; and insolvency procedures, tax, employee and cross-border issues, and other topics. As contributing editors, Elizabeth and Sean also wrote a preface for the guide. Restructuring associate Nicholas Krislov assisted in the preparation of this chapter.
