DOJ Clears Way for Acquisition of Pace by ARRIS Group

Paul, Weiss client Pace plc, a leading global developer of
technologies and products for the PayTV and broadband services
industries, achieved a significant victory when the Department of
Justice closed its second request investigation of a proposed
acquisition of Pace by a competitor, ARRIS Group, Inc., without
requiring any remedial measures. The $2.1 billion transaction had
been the subject of intense antitrust scrutiny, primarily focused
on the DOJ's concern that the elimination of future competition
between Pace and ARRIS might cause customers to pay more for
certain set-top box and optical transmission products. In
responding to the second request, Pace produced over 460,000
documents, provided witnesses for government interviews and also
submitted several advocacy pieces, together with ARRIS,
demonstrating why the DOJ's concerns had no merit.
