Rob Kindler Discusses Growing Importance of M&A for Public Companies on ICE House Podcast

Corporate partner Rob Kindler spoke on episode 389 of the podcast “Inside the ICE House” about his history in the boardroom, his role on several blockbuster M&A deals, and his outlook for 2024. On “M&A Legal Legend Robert Kindler Expounds on Deal-Making Diligence,” Rob discussed some of Paul, Weiss’s recent deals, including Merck’s $10.8 billion acquisition of Prometheus Biosciences, and his earlier transactions, such as AT&T’s acquisition of Time Warner
He also discussed his career trajectory from lawyer to banker to his current role as Global Chair of Paul, Weiss’s M&A Group, and how the importance of M&A to companies has grown. When Rob became a banker nearly 25 years ago, “corporations didn’t have big corporate development and M&A groups,” he said. “Now they do. Because companies realize that what investors want is growth, and getting a combination of inorganic growth by investing in the business and M&A is very important.”
He also offered his insights on inflation and regulatory challenges for today’s dealmakers, noting that the regulatory environment may favor private equity. “I would never underestimate the ability of private equity firms to do deals in any market,” he said. “If the strategic buyer has any regulatory issues, you would much rather sell to a financial buyer than to a strategic buyer.”
