A partner in the Project Finance & Development Group, Joanna Gorska focuses her practice on development and financing of energy projects, particularly renewable power (including solar, wind and battery storage) and energy transition technologies (including carbon capture and sequestration), conventional power and LNG. Joanna has represented private equity investors, developers and lenders (including commercial and investment banks, export credit agencies and institutional investors) and has experience in all aspects of drafting and negotiating project development, debt finance, tax equity and tax credit transfer documents.

Renewables
- Apple Inc.: Represented Apple as a tax equity investor and/or tax credit purchaser in various clean energy projects as part of the company’s “Apple 2030” initiative to be carbon neutral across its entire value chain by 2030
- Brookfield Asset Management: Represented Brookfield in connection with its partnership with Bloom Energy for deploying Bloom Energy’s solid oxide fuel cell technology
- MN8 Energy: Represented the lender group in connection with construction bridge financing for a portfolio of solar power projects totaling 517 MW of generation capacity, including a tax-credit-transferability-linked bridge loan
- Jupiter Power: Represented the lender group in connection with a corporate credit facility for Jupiter Power’s energy storage development pipeline
- Tax Credit Transfer: Represented the tax credit buyer in connection with one of the first tax credit transfer transactions following the enactment of the Inflation Reduction Act
- Development Facility: Represented the lender group in connection with a revolving facility for a portfolio of development-stage solar, solar plus storage, wind and standalone storage projects
- Leeward Renewable Energy: Represented the lender group in connection with financing the 179 MW White Wing Ranch solar project and the 80 MW GSG wind project
- Ørsted: Represented Ørsted in connection with its acquisition of the 924 MW offshore wind farm located off the coast of New York, including drafting and negotiating project documents
- Recurrent Energy: Represented sponsor in connection with solar equipment supply financing (IJGlobal's “North America Solar Deal of the Year”)
- Recurrent Energy: Represented sponsor in connection with debt financing of the following solar power projects:

- Delfin LNG: Represented sponsor in connection with financing of the construction and operation of the first offshore LNG export deepwater port in the USA
- Mozambique LNG: Represented operator in connection with the development, construction and financing of the LNG liquefaction facility in Mozambique (PFI’s “Global Multilateral Deal of the Year 2020”)
- Cameron LNG: Represented a syndicate of banks and export credit agencies in connection with financing of the LNG liquefaction facility in Louisiana (Trade Finance’s “Deal of the Year: Americas”)
- Panda Power Funds: Represented sponsors and operators in connection with the development, financing, re-financing and operation of the following power plants:
- Hummel Power Station (IJGlobal’s “2015 North American Merchant Power Deal of the Year”)

Infrastructure
- Los Angeles International Airport: Represented a group of note purchasers and lenders on a financing of the Los Angeles International Airport (LAX) Consolidated Rent-A-Car Facility (ConRAC) development project (P3 Awards’ finalist in “Best Transit Project” category)
Mergers and Acquisitions
- Ares Management: Represented sponsor in connection with its sale of Potomac Energy Center, a 774-megawatt natural gas power plant in Loudoun County, Virginia
- Vistra: Represented Vistra in connection with its acquisition of Energy Harbor Corp., growing its zero-carbon generation and retail electricity business with the addition of approximately 4,000 MW of nuclear generation and approximately 1 million additional retail customers
- ArcLight: Represented ArcLight in connection with its acquisition of the Puerto Rico Operations that owns two operating solar power plants and related ancillary assets
Hospitality
- RIDA Chula Vista LLC: Represented developer in connection with the development, construction and financing of the Gaylord Pacific Resort and Convention Center project, comprising an approximately 1,600 room hotel and 275,000 square foot convention center with approximately $1.3 billion in development costs
- Eldorado Resorts, Inc.: Represented Eldorado Resorts, Inc. in connection with $17.3 billion acquisition financing to create the world’s biggest casino operator
