Kristiina Leskinen is counsel in the Corporate Department and a member of the Mergers & Acquisitions Group. Kristiina has advised on a broad range of corporate matters, including transactions involving leading private equity firms, as well as private and public companies, across a variety of industries such as manufacturing, consumer and retail, financial services, media and entertainment, communication towers, healthcare and hospitality.

EXPERIENCE

Kristiina’s recent representative experience includes: 

  • Roark Capital Group in its $200 million investment in the Cheesecake Factory Incorporated;
  • General Atlantic and Aperture New Holdings, Inc., an Illinois-based portfolio company of General Atlantic and the parent company of OptionsHouse, an Illinois-based online broker, in the $725 million acquisition of Aperture by E*TRADE Financial Corporation, a New York-based provider of financial services to retail investors;
  • Alignment Healthcare, a portfolio company of General Atlantic and a mission-based Medicare Advantage insurance company headquartered in California, in the $115 million investment in Alignment Healthcare by Warburg Pincus, a New York-based private equity firm.
  • General Atlantic in its definitive agreement related to a $325 million Series E equity finance round for Avant, an Illinois-based marketplace lending platform;
  • General Atlantic and Forma Brands in the acquisition of Playa Beauty, a California-based haircare company;
  • American & Efird, a portfolio company of KPS Capital Partners, LP, in its sale to Platinum Equity Capital Partners;
  • AM Conservation Group, a South Carolina-based energy and water efficiency programs, products and services company and portfolio company of Kohlberg & Company, in its merger with Franklin Energy, a Wisconsin-based company that designs and implements energy efficiency programs for utility, state and municipality clients;
  • Franklin Energy, a Wisconsin-based national demand side management implementation firm and portfolio company of Kohlberg & Company in its acquisition of PlanetEcosystems, Inc., a California-based developer of software-based technology solutions for utilities;
  • NBG Home, a Texas-based global designer, manufacturer and marketer of home décor products and a portfolio company of Kohlberg & Company in its acquisition of Design Solutions International, a Florida-based global importer and distributor of residential lighting products;
  • The Yokohama Rubber Co., Ltd., a leading tire manufacturer headquartered in Tokyo, in its $1.2 billion acquisition of Alliance Tire Group, a portfolio company of Kohlberg Kravis Roberts & Co.;
  • Grain Management, a Washington D.C.-based private equity firm, in its sale of 400 wireless towers and assets for approximately $500 million to American Tower Corp., a Massachusetts-based real estate investment trust company;
  • Bellisio Foods, Inc., a Minnesota-based frozen food company and portfolio company of Centre Partners, in its $1.075 billion acquisition by Charoen Pokphand Foods (CPF), a Thailand-based agro-industrial conglomerate;
  • An ad hoc committee of PIK loan lenders to EB Holdings II, Inc., the parent company of Eco-Bat Technologies Limited, the world’s largest producer of lead and lead alloys, in the restructuring of approximately $2.5 billion in funded debt obligations;
  • Foundation Building Materials, a California-based building materials company and a portfolio company of CI Capital Partners, in its simultaneous acquisition of Great Western Building Materials, Inc., Oxnard Building Materials, Inc. and ProWall Building Products, Inc., a family of wholesale distributors of building materials;
  • Time Warner Cable in its $78.7 billion merger with Charter Communications;
  • Hunt Companies, Inc., a holding company that invests in businesses focused in the real estate and infrastructure markets, in:
    • the $200 million committed minority equity investment in certain of Hunt's financial services and asset management businesses by affiliates of Gallatin Point Capital LLC, a private investment firm;
    • its acquisition of certain real estate related assets, management externalization and private placement transactions with MMA Capital Management, LLC; and
    • its external management agreement and private placement transactions with Five Oaks Investment Corp., a publicly traded REIT.
  • TowerCo, a North Carolina-based developer, owner and lessor of communication towers, in the $244 million sale of 253 wireless communications towers and 95 other related assets to Grain Infrastructure Fund II, L.P.
