Hawks Acquisition Corp Closes $230 Million IPO

Paul, Weiss advised special purpose acquisition company Hawks Acquisition Corp in its $230 million initial public offering. The offering included 23,000,000 units after the underwriters exercised their over-allotment option. Each unit consists of one share of Class A common stock and one-half of one public warrant, with each whole public warrant entitling the holder to purchase one share of Class A common stock at a price of $11.50. The units are trading under the ticker symbol “HWKZ.U” on the NYSE.

Simultaneously with the IPO’s closing, the company completed the private sale of 6,500,000 private placement warrants to the company’s sponsor, Hawks Sponsor LLC, generating gross proceeds of $6.5 million.

The Paul, Weiss team included corporate partner Brian Janson and counsel David Curtiss; restructuring partner Jeffrey Saferstein; and tax partner Brian Grieve.
