Alpha Holdings to Acquire ABC Technologies in Take-Private Deal

Paul, Weiss is advising AP IX Alpha Holdings (Lux) S.à.r.l. (Alpha Holdings) in its take-private acquisition of ABC Technologies Holdings Inc., a leading manufacturer and supplier of custom, highly engineered technical plastics and lightweighting innovations to the North American light vehicle industry. Under the terms of the agreement, Alpha Holdings, alongside Oaktree Capital Management funds OCM Luxembourg OPPS XI S.à.r.l. and OCM Luxembourg OPPS XB S.à.r.l., will acquire all of ABC’s remaining common shares for C$6.75 in cash per share.
The transaction will be completed by way of a plan of arrangement under British Columbia’s Business Corporations Act.
