Corporate partner Scott Barshay and litigation partner Andrew Finch were featured guests in the latest episode of Citigroup’s Inside M&A podcast. In the episode, “M&A Considerations and the New Antitrust Paradigm,” Scott and Andrew discussed how potential changes in antitrust enforcement may impact dealmaking. Andrew noted that we may be at an inflection point in antitrust enforcement, depending on whether enforcement agencies bring cases that push the boundaries of antitrust law, how receptive courts are to those cases, and whether Congress and state legislatures change existing laws. Scott noted that companies considering a merger should focus on preparation even before a signed merger agreement—for instance, examining relevant markets and competitors, and reviewing potentially problematic internal communications—and planning for the endgame, whether it be complying with second requests, preparing to litigate, or negotiating potential remedies.
