On June 24, restructuring partner Andrew Parlen participated in a virtual panel, “Navigating the Minefield of Emerging Corporate Governance Issues in Restructurings (Ethics),” as part of the Association of Insolvency & Restructuring Advisors' 36th Annual Bankruptcy & Restructuring Conference Virtual Series program. The panel discussed topics related to the establishment of proper governance process in complex restructurings, such as the use of independent directors and special committees to address conflicts, the increased presence and impact of funded debt creditors with board seats and observer rights, and the use of proper governance process to fend off examiner appointments and UCC investigations, among others.
