Apollo Funds to Acquire Majority Control of ABC Technologies

Paul, Weiss is advising certain funds managed by affiliates of Apollo Global Management, Inc. in their majority acquisition of ABC Technologies Holdings Inc. from ABC Group Canada LP (ABC LP), an affiliate of funds managed by Cerberus Capital Management, L.P.
Under the terms of the transaction, funds affiliated with Apollo will purchase 51% of the outstanding common shares of the company (on a fully-diluted basis) from ABC LP for CAD$10.00 per common share. ABC Technologies is a leading manufacturer and supplier of custom, highly engineered, technical plastics and lightweighting innovations to the North American light vehicle industry. The transaction is subject to customary closing conditions and regulatory approvals from Canada, the United States, Mexico, Spain and Poland.
