The SEC has adopted significant amendments to Rules 144 and 145. The amendments to Rule 144 significantly reduce the requirements of the rule for non-affiliates and also provide relief for affiliates. The amendment to Rule 145 eliminates the rule's presumed underwriter provisions except for transactions involving shell companies.
