Midstates Petroleum Proposes Combination With SandRidge Energy

Paul, Weiss is representing Midstates Petroleum Company, Inc. in its proposal to combine with SandRidge Energy, Inc. in an all-stock merger. The deal would create the biggest oil producer in the Mississippian Lime shale formation. Under the terms of the proposal, SandRidge shareholders would own approximately 60 percent of the combined company and Midstates shareholders 40 percent. The transaction is expected to close as soon as the second quarter of 2018, pending regulatory and shareholder approvals.
