Paul, Weiss is advising Apollo Global Management portfolio company ABC Technologies Holdings Inc. and funds managed by Apollo affiliates in ABC Technologies’ $255 million acquisition of dlhBOWLES, Inc. from MPE Partners. Toronto-based ABC Technologies is a leading manufacturer and supplier of custom, highly engineered technical plastics and lightweighting innovations to the global automotive industry. Based in North Canton, Ohio, dlhBOWLES is a leading provider of camera and sensor cleaning systems, windshield washer systems, sunroof drains, powertrain and chassis solutions.
The transaction will be financed through a private placement of up to 5,253,642 common shares of ABC Technologies at a price to be determined in accordance with the policies of the Toronto Stock Exchange, a rights offering, and a debt commitment with the Apollo funds and funds affiliated with minority ABC Technologies stakeholder Oaktree Capital Management.
