Ply Gem to Be Acquired by Clayton, Dubilier & Rice for $2.4 Billion

Paul, Weiss is representing Ply Gem Holdings, Inc, a leading manufacturer of exterior building products, in its acquisition by investment funds sponsored Clayton, Dubilier & Rice (CD&R), under which CD&R will acquire all of the outstanding shares of Ply Gem common stock in a transaction valued at approximately $2.4 billion. Ply Gem’s board of directors unanimously approved the agreement, which provides for the payment of $21.64 per share in cash to all holders of Ply Gem common stock. The cash purchase price represents a premium of approximately 20 percent over Ply Gem’s closing stock price on January 30. Promptly following entry into the agreement, stockholders holding greater than 50 percent of the outstanding shares of Ply Gem common stock executed a written consent to approve the transaction, thereby providing the required stockholder approval. Ply Gem was acquired by our client CI Capital Partners in 2004, helped steward its growth through acquisitions and internal growth over 14 years, nursed it through the worst recession in the housing industry in decades and took it public in 2013.  Our firm has been with them all of the way.
